The Site is operated by Ladydaidy ("we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Acceptance of Terms

By visiting the Site, creating an account, or completing a purchase, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction), have read and understood these Terms, and agree to be bound by them. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any content from the Site without our prior written permission, except that you may print or download a single copy of pages from the Site solely for your personal, non-commercial use, provided you do not modify the content and you keep intact all copyright and proprietary notices.

The Ladydaidy name, logo, and all related marks are trademarks of Ladydaidy. Nothing in these Terms grants you any right or license to use our trademarks.

4. Product Descriptions and Availability

We make every effort to display our products accurately, including colors, dimensions, and materials. However, we cannot guarantee that your device's display will accurately represent the true color or appearance of our products. Silicone products may vary slightly from batch to batch.

We reserve the right to modify, discontinue, or limit the availability of any product at any time without notice. Product descriptions, specifications, pricing, and availability are subject to change without notice.

5. Pricing and Payment

All prices are listed in US Dollars and are subject to change without notice. We reserve the right to correct pricing errors at any time. If a product is listed at an incorrect price due to a typographical error or system error, we reserve the right to cancel or refuse any orders placed at the incorrect price, even if the order has been confirmed and your payment method charged. In that event, we will issue a full refund to your original payment method.

Payment is processed securely through Shopify Payments. By submitting your order, you represent that you are authorized to use the payment method provided and that the payment information is accurate.

6. Orders and Contract Formation

Your receipt of an order confirmation does not constitute our acceptance of your order. We reserve the right to accept or decline any order for any reason, including but not limited to product unavailability, errors in pricing or product information, or concerns about fraud. A binding contract is only formed when we dispatch your order and send you a shipping confirmation.

7. Disclaimer of Warranties

THE SITE AND ITS CONTENTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LADYDAIDY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR A PURCHASE EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless Ladydaidy and its officers, directors, employees, agents, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including but not limited to any content you submit, your violation of any third-party right, or your violation of any applicable law.

10. Governing Law

These Terms and any dispute arising out of or related to them or the Site shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

11. Dispute Resolution

Before filing a claim against Ladydaidy, you agree to attempt to resolve the dispute informally by contacting us at ladydaidycustomerservice@gmail.com. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, either party may bring a formal proceeding.

For any dispute that cannot be resolved informally, you and Ladydaidy agree to resolve it through binding individual arbitration under the rules of the American Arbitration Association, rather than in court, except that either party may bring claims in small claims court if the claims qualify. There is no judge or jury in arbitration, and court review of an arbitration award is limited. You agree that any arbitration shall take place in California.

Class Action Waiver: You and Ladydaidy agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

12. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by Ladydaidy. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. We strongly advise you to review the terms and privacy policy of any third-party site you visit.

13. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. Changes are effective immediately upon posting. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Ladydaidy regarding the Site and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter of these Terms.
